1. ACCEPTANCE OF TERMS

Welcome to SimpliHaven ("SimpliHaven," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the SimpliHaven platform, website, mobile application, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION IN SECTION 15 THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

2. DEFINITIONS

  • "Buyer" means an individual user seeking information about homeownership and seeking to connect with real estate professionals.
  • "Realtor" means a licensed real estate professional who subscribes to the Service to connect with potential homebuyers.
  • "Lender" means a mortgage lender, loan officer, or financial institution representative who may be featured or connected through the Service.
  • "Content" means any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials.
  • "User Content" means Content that you submit, post, or transmit through the Service.
  • "Haven Score" means SimpliHaven's proprietary assessment tool that evaluates homebuyer readiness across multiple factors.

3. DESCRIPTION OF SERVICE

SimpliHaven is an educational platform and connection service that:

  • Provides educational resources about homeownership and the homebuying process
  • Offers tools to help prospective homebuyers assess their readiness (including the Haven Score)
  • Facilitates connections between homebuyers and real estate professionals
  • Provides organizational tools for real estate professionals to manage client relationships

SimpliHaven is NOT:

  • A real estate brokerage or agency
  • A mortgage lender or loan originator
  • A financial advisor or credit counseling service
  • A legal services provider
  • A guarantor of any transaction, relationship, or outcome

4. PROFESSIONAL SERVICES DISCLAIMER

4.1 No Professional Advice

SIMPLIHAVEN DOES NOT PROVIDE PROFESSIONAL ADVICE. The Service provides general educational information only and should not be construed as:

  • Financial advice or recommendations regarding mortgages, loans, credit, investments, or financial planning
  • Legal advice regarding contracts, real estate transactions, or any other legal matters
  • Real estate brokerage services or recommendations to buy, sell, or rent specific properties
  • Credit counseling or credit repair services
  • Tax advice or guidance on tax implications of homeownership

4.2 Educational Purpose Only

All information, tools, calculators, assessments (including the Haven Score), and content provided through the Service are for general educational and informational purposes only. This information:

  • Should not be relied upon as the sole basis for any financial or real estate decision
  • May not be accurate, complete, or current
  • Does not take into account your individual circumstances, financial situation, or goals
  • Is not a substitute for professional advice from qualified professionals

4.3 Haven Score Limitations

The Haven Score is a proprietary educational assessment tool designed to help you think about various aspects of homebuyer readiness. The Haven Score:

  • Is NOT a credit score, mortgage pre-approval, or guarantee of loan approval
  • Does NOT predict whether you will be approved for a mortgage
  • Does NOT determine what you can afford or should spend on a home
  • Is based on self-reported information and general guidelines
  • Should be used for educational purposes only
  • Is subject to change and may contain errors

Your Haven Score does not obligate any lender to provide you with financing and does not guarantee any particular outcome in the homebuying process.

4.4 Third-Party Professional Relationships

SimpliHaven facilitates introductions between Buyers and real estate professionals (Realtors and Lenders). However:

  • We do not employ, supervise, or control these professionals
  • We do not endorse, recommend, or guarantee any specific professional
  • We are not responsible for the actions, advice, services, or conduct of any professional you connect with through the Service
  • Any relationship you form with a professional is independent of SimpliHaven
  • You are solely responsible for evaluating and selecting professionals to work with

4.5 Consult Qualified Professionals

YOU SHOULD ALWAYS CONSULT WITH QUALIFIED, LICENSED PROFESSIONALS before making any financial, legal, or real estate decisions, including but not limited to:

  • A licensed real estate agent or broker for property transactions
  • A licensed mortgage professional or lender for financing decisions
  • A qualified financial advisor for financial planning and advice
  • An attorney for legal advice and contract review
  • A certified public accountant or tax professional for tax matters
  • A certified credit counselor for credit and debt management

4.6 No Fiduciary Duty

SimpliHaven does not owe you any fiduciary duty or duty of care beyond providing the Service in accordance with these Terms. We are not your agent, advisor, or representative in any capacity.

5. ELIGIBILITY AND ACCOUNT REGISTRATION

5.1 Age and Capacity

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

5.2 Account Creation

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

5.3 Professional Accounts

Realtors must:

  • Hold a valid, active real estate license in good standing in the state(s) where they operate
  • Provide proof of licensure and professional credentials as requested
  • Maintain current and accurate license information
  • Comply with all applicable real estate laws, regulations, and ethical standards
  • Immediately notify us of any license suspension, revocation, or disciplinary action

Lenders must:

  • Be employed by or represent a legitimate mortgage lending institution
  • Hold all required licenses and certifications
  • Comply with all applicable lending laws and regulations

SimpliHaven reserves the right to verify credentials and reject or terminate any account at our sole discretion.

5.4 One Account Per User

You may only create and maintain one account. Multiple accounts by the same person or entity are prohibited without our prior written consent.

5.5 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.

6. USER CONDUCT AND PROHIBITED ACTIVITIES

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

General Prohibitions:

  • Violate any applicable federal, state, local, or international law or regulation
  • Infringe or violate the intellectual property rights, privacy rights, or other rights of SimpliHaven or any third party
  • Harass, abuse, threaten, defame, or intimidate any person
  • Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity
  • Engage in any fraudulent, deceptive, or misleading conduct

Service Integrity:

  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems or networks
  • Use any robot, spider, scraper, or other automated means to access the Service
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service (including the Haven Score methodology)
  • Remove, circumvent, disable, damage, or otherwise interfere with security features of the Service
  • Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material

Commercial Restrictions:

  • Use the Service for any commercial purpose not expressly permitted by these Terms
  • Resell, sublicense, or redistribute access to the Service without authorization
  • Use data mining, robots, or similar data gathering or extraction methods
  • Frame or mirror any part of the Service without our express written permission

Content and Communication:

  • Post or transmit any unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable content
  • Post or transmit any content that contains software viruses or any other harmful code
  • Spam, solicit, or advertise to other users except as expressly permitted for Realtors using the Service
  • Collect or store personal data about other users without their consent

6.2 Realtor-Specific Conduct

Realtors using the Service agree to:

  • Use the Service only to connect with genuine prospective homebuyers
  • Provide honest, accurate information about their services and qualifications
  • Comply with all applicable real estate laws, regulations, fair housing laws, and professional ethical standards
  • Not harass, spam, or engage in aggressive or deceptive marketing to Buyers
  • Not share, sell, or misuse Buyer information obtained through the Service
  • Not circumvent the Service to directly solicit subscription fees from Buyers
  • Respond to Buyer inquiries in a timely and professional manner
  • Honor all commitments and representations made through the Service

6.3 Buyer-Specific Conduct

Buyers using the Service agree to:

  • Provide accurate information when using assessment tools and creating profiles
  • Not create fake profiles or accounts
  • Not use the Service to harass or spam Realtors or Lenders
  • Understand that connecting with a Realtor or Lender does not create any obligation to work with them
  • Not attempt to manipulate the Haven Score or other assessment tools

6.4 Enforcement

We reserve the right, but do not assume the obligation, to:

  • Monitor, review, or edit any User Content
  • Remove or refuse to post any User Content for any reason
  • Investigate and take appropriate legal action against anyone who violates these Terms
  • Cooperate with law enforcement authorities in investigating alleged criminal activity

7. SUBSCRIPTIONS AND PAYMENTS (REALTOR ACCOUNTS)

7.1 Subscription Plans

SimpliHaven offers paid subscription plans for Realtors. Current plans, pricing, and features are described on our website and may be changed at our discretion with notice.

7.2 Billing and Payment

  • Subscriptions are billed in advance on a monthly or annual basis
  • You authorize us to charge your designated payment method for all subscription fees
  • Payment is due immediately upon subscription and at the start of each renewal period
  • All fees are in U.S. dollars and are non-refundable except as expressly stated in these Terms

7.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription fee for the renewal period.

7.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will be effective at the end of the current billing period. You will continue to have access to subscription features until the end of the paid period, but no refund will be provided for any unused portion.

7.5 Price Changes

We reserve the right to change subscription prices at any time. Price changes will be communicated to you in advance and will take effect at your next renewal period. Your continued use of the Service after a price change constitutes your acceptance of the new price.

7.6 Failed Payments

If payment fails:

  • We may suspend or terminate your subscription access
  • You remain responsible for any outstanding amounts
  • We may attempt to re-process the payment
  • We may charge you reasonable collection costs

7.7 Taxes

All fees are exclusive of applicable taxes. You are responsible for all sales, use, value-added, and other taxes associated with your subscription, except for taxes based on SimpliHaven's net income.

8. INTELLECTUAL PROPERTY RIGHTS

8.1 SimpliHaven's Intellectual Property

The Service and all materials contained therein, including but not limited to text, graphics, images, logos, button icons, software code, design, and the compilation thereof (the "SimpliHaven Content"), are the property of SimpliHaven LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

SimpliHaven's proprietary property includes:

  • The SimpliHaven name, logo, and trademarks
  • The Haven Score methodology, algorithm, and assessment system
  • All software, code, and technical infrastructure
  • All design elements, user interface, and user experience
  • All educational content, articles, and resources
  • All databases, data structures, and compilations

8.2 Limited License to Users

Subject to your compliance with these Terms, SimpliHaven grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

  • Access and use the Service for your personal or internal business purposes (as applicable)
  • View, download, and print SimpliHaven Content solely for your permitted use of the Service

This license does not include any right to:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from SimpliHaven Content
  • Reverse engineer, decompile, or disassemble any software or technology underlying the Service
  • Access or use the Haven Score methodology or algorithms
  • Use any SimpliHaven trademarks, service marks, or logos

8.3 User Content Ownership and License

You retain ownership of any User Content you submit to the Service. However, by submitting User Content, you grant SimpliHaven a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating and providing the Service.

This license includes the right to:

  • Display your profile information to other users as part of the Service
  • Use aggregated and anonymized data derived from User Content for analytics, research, and service improvement
  • Use testimonials and feedback you provide for marketing purposes (with your permission)

8.4 User Content Representations

By submitting User Content, you represent and warrant that:

  • You own or have the necessary rights to submit the User Content
  • The User Content does not infringe any intellectual property rights or other rights of any third party
  • The User Content complies with these Terms and all applicable laws

8.5 Feedback

If you provide SimpliHaven with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant SimpliHaven an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without attribution or compensation.

8.6 Copyright Infringement Claims

SimpliHaven respects intellectual property rights. If you believe any content on the Service infringes your copyright, please contact us at support@simplihaven.com with:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the allegedly infringing material and its location on the Service
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement that the information is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

8.7 Trade Secrets

The Haven Score methodology and certain other aspects of the Service constitute trade secrets of SimpliHaven. You agree not to disclose, reverse engineer, or attempt to discover any trade secrets embodied in the Service.

9. THIRD-PARTY SERVICES AND LINKS

9.1 Third-Party Integrations

The Service may integrate with or contain links to third-party services, websites, or resources, including:

  • Payment processors (e.g., Stripe)
  • Email and communication services
  • Mapping and location services
  • Property listing services
  • Credit reporting services (if applicable)

9.2 No Endorsement or Responsibility

SimpliHaven does not endorse and is not responsible or liable for:

  • The availability, accuracy, or content of such third-party services
  • Any products, services, or content available through third-party services
  • Any actions or omissions of third-party service providers

9.3 Third-Party Terms

Your use of third-party services is subject to their respective terms of service and privacy policies. You are solely responsible for reviewing and complying with such terms.

9.4 Real Estate Professionals Are Independent Third Parties

Realtors and Lenders who use the Service are independent third parties, not employees, agents, or representatives of SimpliHaven. SimpliHaven is not responsible for:

  • The qualifications, licensing, or conduct of any real estate professional
  • The accuracy of information provided by professionals
  • The quality of services provided by professionals
  • Any disputes between you and any professional
  • Any transactions or agreements you enter into with professionals

10. PRIVACY AND DATA USE

10.1 Privacy Policy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our Privacy Policy.

10.2 Data You Provide

You acknowledge that the Service requires you to provide certain personal and financial information, including:

  • Contact information (name, email, phone number)
  • Financial information (income, credit score range, debt information, savings)
  • Homebuying goals and preferences
  • Employment and residence history

10.3 Data Security

While we implement reasonable security measures to protect your data, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security of your information.

10.4 Data Sharing

We may share your information as described in our Privacy Policy, including:

  • With Realtors and Lenders you choose to connect with
  • With service providers who assist us in operating the Service
  • As required by law or legal process
  • In connection with a business transaction (merger, acquisition, sale)

10.5 Buyer-Realtor Data Sharing

When a Buyer connects with or is matched to a Realtor through the Service:

  • The Buyer's profile information and Haven Score may be shared with the Realtor
  • Contact information may be shared to facilitate communication
  • Buyers consent to this sharing by using the connection features
  • Realtors agree not to misuse or share Buyer information outside the scope of the professional relationship

11. DISCLAIMERS AND WARRANTIES

11.1 "AS IS" and "AS AVAILABLE" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

11.2 Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIMPLIHAVEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of the Service or any content
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties that defects will be corrected
  • Warranties regarding any information, advice, or services obtained through the Service
  • Warranties regarding the results or outcomes from using the Service

11.3 No Guarantee of Results

SIMPLIHAVEN DOES NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING:

  • Whether you will be matched with suitable real estate professionals
  • The quality, qualifications, or conduct of any real estate professional
  • Whether you will be approved for a mortgage or find a home
  • The accuracy of the Haven Score or any other assessment tool
  • The accuracy, completeness, or usefulness of any information or content
  • Any specific outcomes from using the Service

11.4 Haven Score Disclaimer

THE HAVEN SCORE IS A PROPRIETARY EDUCATIONAL TOOL ONLY. IT IS NOT:

  • A credit score or credit report
  • A mortgage pre-approval or commitment
  • A guarantee of loan approval or specific loan terms
  • A determination of what you can afford
  • Professional financial advice

THE HAVEN SCORE IS BASED ON SELF-REPORTED INFORMATION AND GENERAL GUIDELINES. IT MAY CONTAIN ERRORS OR OMISSIONS AND SHOULD NOT BE RELIED UPON AS THE SOLE BASIS FOR ANY FINANCIAL DECISION.

11.5 Third-Party Content Disclaimer

SimpliHaven does not control and is not responsible for any User Content or third-party content available through the Service. Any reliance on such content is at your own risk.

11.6 Professional Disclaimer

NO ATTORNEY-CLIENT, FINANCIAL ADVISOR-CLIENT, OR OTHER PROFESSIONAL RELATIONSHIP IS CREATED BY YOUR USE OF THE SERVICE.

11.7 State Law Rights

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, some of the above exclusions may not apply to you. You may have other rights that vary by jurisdiction.

12. LIMITATION OF LIABILITY

12.1 Limitation of Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIMPLIHAVEN, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES

This includes but is not limited to damages for:

  • Lost profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Loss of goodwill or reputation
  • Cost of substitute goods or services
  • Personal injury or property damage
  • Financial losses from mortgage applications, home purchases, or related transactions
  • Damages arising from relationships with real estate professionals
  • Damages from reliance on the Haven Score or other information provided

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SIMPLIHAVEN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Direct Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SIMPLIHAVEN'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • $100, or
  • The total amount you paid to SimpliHaven in the 12 months preceding the claim

12.3 Basis of the Bargain

You acknowledge and agree that SimpliHaven has offered the Service, set its prices, and entered into these Terms in reliance upon the disclaimers of warranty and limitations of liability set forth herein, and that the same form an essential basis of the bargain between you and SimpliHaven.

12.4 State Law Exceptions

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages. In such jurisdictions, SimpliHaven's liability will be limited to the extent permitted by law.

12.5 Specific Situations

SimpliHaven is not liable for:

  • Actions, errors, or omissions of real estate professionals you connect with through the Service
  • Your decisions regarding home purchases, mortgages, or financial matters
  • Inaccuracies in the Haven Score or other assessment tools
  • Service interruptions, data loss, or security breaches
  • Third-party service failures or integrations
  • User Content or conduct of other users
  • Changes or discontinuation of the Service

13. INDEMNIFICATION

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless SimpliHaven, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to:

  • Your use or misuse of the Service
  • Your breach of these Terms
  • Your violation of any law, regulation, or rights of a third party
  • Your User Content or any content you submit, post, or transmit through the Service
  • Your relationships or interactions with real estate professionals or other users
  • Your decisions or actions based on information obtained through the Service
  • Any false, inaccurate, or misleading information you provide
  • Your breach of any professional licensing requirements or ethical obligations (for Realtor accounts)

13.2 Defense of Claims

SimpliHaven reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with SimpliHaven in asserting any available defenses.

13.3 Realtor Additional Indemnification

Realtors additionally agree to indemnify SimpliHaven for:

  • Any violations of real estate laws, regulations, or licensing requirements
  • Fair housing violations or discriminatory practices
  • Misrepresentations made to Buyers or other parties
  • Unauthorized use or disclosure of Buyer information
  • Breach of fiduciary duties owed to clients

14. MODIFICATIONS TO SERVICE AND TERMS

14.1 Right to Modify Service

SimpliHaven reserves the right to:

  • Modify, suspend, or discontinue the Service (or any part thereof) at any time
  • Change features, functionality, or availability of the Service
  • Impose limits on certain features or restrict access to parts of the Service
  • Update, change, or remove content

We will provide reasonable notice of material changes when practicable, but are not obligated to do so.

14.2 Right to Modify Terms

SimpliHaven may modify these Terms at any time by posting updated Terms on the Service. The "Last Updated" date at the top will reflect when changes were made.

Material changes will be communicated to you via:

  • Email to your registered email address
  • Prominent notice on the Service
  • In-app notification

14.3 Your Acceptance of Changes

Your continued use of the Service after any modification to these Terms constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

For Realtor subscription accounts, continued payment after notification of Terms changes constitutes acceptance.

14.4 Effect on Existing Disputes

Changes to these Terms will not affect any dispute that arose before the effective date of the changes.

15. DISPUTE RESOLUTION AND ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

15.1 Informal Dispute Resolution

Before filing a claim, you agree to contact SimpliHaven to attempt to resolve the dispute informally. Send notice to:

Include your name, contact information, description of the dispute, and desired resolution. We will attempt to resolve the dispute within 60 days.

15.2 Binding Arbitration

If we cannot resolve a dispute informally, you and SimpliHaven agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration rather than in court, except as provided below.

Arbitration Rules:

  • Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable
  • Arbitration will be conducted by a single arbitrator
  • Arbitration will take place in Portland, Oregon, or another mutually agreed location
  • The arbitrator's decision will be final and binding
  • Judgment on the arbitration award may be entered in any court with jurisdiction

Arbitration Costs:

  • For consumer disputes, SimpliHaven will pay all AAA filing, administration, and arbitrator fees unless your claim is determined to be frivolous
  • Each party will bear its own attorneys' fees unless the arbitrator awards fees as permitted by law
  • For commercial disputes (Realtor accounts), fees will be allocated according to AAA rules

15.3 Exceptions to Arbitration

The following disputes are not subject to arbitration:

  • Small claims court actions (if the claim qualifies for small claims court)
  • Claims for injunctive or equitable relief to protect intellectual property rights
  • Individual claims of $10,000 or less (at your option)

15.4 Class Action Waiver

YOU AND SIMPLIHAVEN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE ACTION.

Unless both you and SimpliHaven agree otherwise:

  • No arbitration or proceeding will be joined with any other
  • There is no right or authority for any dispute to be arbitrated on a class-action basis or in a purported representative capacity
  • The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary for that individual party's claim

15.5 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND SIMPLIHAVEN WAIVE ANY RIGHT TO A JURY TRIAL.

15.6 Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

15.7 Venue for Non-Arbitrable Claims

For any claims not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Multnomah County, Oregon.

15.8 Statute of Limitations

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

15.9 Opt-Out Right

You have the right to opt out of the arbitration agreement. To opt out, you must notify SimpliHaven in writing within 30 days of first accepting these Terms. Send notice to:

Include your name, address, email, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other terms still apply, but disputes will be resolved in court rather than through arbitration.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and SimpliHaven regarding the Service and supersede all prior agreements and understandings.

16.2 Assignment

You may not assign or transfer these Terms or your rights under these Terms without SimpliHaven's prior written consent. SimpliHaven may freely assign or transfer these Terms. Any attempted assignment in violation of this provision is void.

16.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

16.4 Waiver

SimpliHaven's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by SimpliHaven.

16.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights except as expressly stated herein.

16.6 Notices

Notices to You:

SimpliHaven may provide notices to you via email to your registered email address, through the Service, or by posting on our website. You consent to receive electronic communications and agree that such communications satisfy any legal requirement that communications be in writing.

Notices are effective upon receipt.

16.7 Force Majeure

SimpliHaven will not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

16.8 Survival

Sections that by their nature should survive termination of these Terms will survive, including but not limited to: Intellectual Property Rights, Disclaimers and Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, and General Provisions.

16.9 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

16.10 Relationship of Parties

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and SimpliHaven. You have no authority to bind SimpliHaven in any manner.

16.11 Export Compliance

You may not use or export the Service in violation of U.S. export laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.

16.12 Government Users

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. §2.101, and use is governed by these Terms.

16.13 California Residents

Under California Civil Code Section 1789.3, California users are entitled to the following consumer rights notice:

These Terms are drafted in English. Any translation is provided for convenience only. In the event of conflict between the English version and any translation, the English version controls.
